Donald Lam’s practice advises small, privately held businesses and individuals in business formation, commercial transactions, mergers and acquisitions, and technology licensing matters.  He speaks fluent Chinese (Cantonese).

Business and Mergers & Acquisitions Representation

Donald represents businesses in various matters, including business formation, subsidiary structure, dispute response and resolution, executive and deferred compensation agreements, equity grants, stock appreciation rights, and contract matters. He additionally assists clients through preparing shareholder and “buy-sell” agreements, LLC agreements, and shareholder/owner buy-outs.

Much of Donald’s practice is devoted to mergers and acquisitions representation, typically in transactions ranging from several hundred thousand dollars to $10 million or more.  In these matters, he represents clients from the letter of intent stage through transaction structure, due diligence, and agreement and schedule preparation.

Technology Licensing and Review

Donald represents clients in technology and intellectual property licensing, including matters involving software, patents, trademarks, and technology concerning business models.  Much of his technology practice is focused on representing companies in connection with mergers and acquisitions and related due diligence.

Donald additionally provides advice and counsel concerning website privacy policies and represents and advises franchisees and franchise buyers in connection with the Uniform Franchise Offering Circular (“UFOC”) review.
